Acceptance of these terms
These Terms and Conditions govern access to SIIPS websites, registration services, SIIPS IDs and participation infrastructure. By registering, accessing or using a SIIPS service, you agree to these terms. If you use SIIPS for a business or organisation, you confirm that you have authority to bind it.
If you do not agree, do not register for or use the service. Additional written terms may apply to particular merchant, council or partner services and will prevail for that service where they conflict with these terms.
Eligibility and registration
You must provide accurate, current information and be legally capable of accepting these terms. You are responsible for keeping your registration details current and for activity performed through your SIIPS ID or authorised business account.
A registration or expression of interest does not guarantee admission, status, benefits or continued access. SIIPS may perform reasonable verification and may reject incomplete, inaccurate, duplicate, fraudulent or unsuitable registrations.
What SIIPS provides
SIIPS provides identity, verification and participation infrastructure intended to support access across a network of participating merchants. SIIPS is not a bank, payment processor, stored-value facility, discount card or loyalty-points programme. SIIPS does not hold participant funds or settle merchant transactions.
Privileges, recognition, network status and merchant participation may vary over time. Unless expressly stated in writing, no particular offer, merchant, outcome or level of access is guaranteed.
Participant responsibilities
- Use SIIPS only for lawful, genuine participation and in accordance with instructions shown in the service.
- Keep your devices and SIIPS credentials secure and promptly report suspected loss, compromise or unauthorised use.
- Do not impersonate another person, create duplicate or misleading identities, manipulate verified activity, or attempt to obtain access improperly.
- Do not probe, disrupt, reverse engineer, scrape or bypass security or access controls except where such restriction is prohibited by law.
Merchant responsibilities
Participating merchants remain responsible for their products, services, pricing, taxes, licences, customer communications and compliance obligations. Merchants must not present SIIPS as processing a payment or guaranteeing a customer, transaction or commercial result.
- Use participant information only for authorised SIIPS interactions and any independent lawful purpose clearly disclosed to the participant.
- Protect access credentials and ensure staff use SIIPS accurately and only for legitimate business activity.
- Honour any privilege or representation the merchant has validly published, subject to its clearly communicated conditions.
Availability and changes
SIIPS may update, suspend, withdraw or change all or part of the service to maintain security, comply with law, improve functionality or reflect network conditions. We aim to communicate material changes where reasonably practicable, but uninterrupted or error-free availability is not promised.
Intellectual property
SIIPS and its licensors retain all rights in the service, software, designs, trademarks, content and infrastructure. These terms grant only a limited, revocable, non-exclusive and non-transferable right to use the service for its intended purpose. No ownership rights are transferred to you.
If you provide feedback, you permit SIIPS to use it without restriction or payment, provided we do not publicly identify you without permission.
Privacy
Our Privacy Policy explains how SIIPS handles personal data. Merchants and other third parties may have separate privacy obligations and policies for processing they independently control.
Suspension and termination
SIIPS may restrict, suspend or terminate access where reasonably necessary to address suspected fraud, security risk, legal requirements, misuse, material breach or harm to the network or its participants. You may stop using SIIPS at any time and may request account-related assistance through contact@siips.io.
Terms that by their nature should continue after access ends-including intellectual property, disclaimers, liability, disputes and accrued obligations-will survive termination.
Disclaimers and liability
To the extent permitted by law, SIIPS is provided on an as-available basis. We do not make implied guarantees about uninterrupted availability, merchant performance, particular privileges or commercial outcomes. Nothing in these terms excludes a right or liability that cannot lawfully be excluded.
To the extent permitted by law, SIIPS Infrastructure Technologies Limited will not be liable for indirect, incidental, special or consequential loss, loss of profit, revenue, opportunity, goodwill or data arising from use of the service. Any further limitation or allocation of liability applicable to a paid or contracted service will be stated in its separate written agreement.
Governing law and disputes
These terms are governed by the laws of the Abu Dhabi Global Market. Subject to any mandatory rights or agreed dispute process that applies, the ADGM Courts will have exclusive jurisdiction over disputes arising from these terms or use of SIIPS.
Before commencing formal proceedings, please contact us at contact@siips.io so the parties can attempt to resolve the issue in good faith.
General terms and contact
If part of these terms is unenforceable, the remaining provisions will continue in effect. A delay in enforcing a right is not a waiver. You may not transfer your rights or obligations under these terms without our consent; SIIPS may transfer them as part of a reorganisation, financing or transfer of the relevant service, subject to applicable law.
We may revise these terms by publishing an updated version and changing the date shown above. Questions may be sent to contact@siips.io or to SIIPS Infrastructure Technologies Limited, Abu Dhabi Global Market, Abu Dhabi, United Arab Emirates.
